Welcome to Meeting Ally (“Service”), an AI-powered file note taking application provided by Halosoft Pty Ltd (“Company”, “we”, “us” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Service.

Acceptance of Terms

By accessing this site (www.meetingally.ai) and using any of its services, you (“User”, “you” or “your”) agree to be bound by these Terms, the Privacy Policy published on the same site, and any applicable laws and regulations. If you do not agree with these Terms, you may not access this site or any Meeting Ally Service.

Modifications to Terms

Any changes will be effective immediately upon posting on our website. If the updates materially impact your rights or obligations, we will notify you via email or a prominent notice on the website. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. We recommend that you review the Terms periodically for any updates.

Eligibility

Service Description

Meeting Ally is designed to help users produce summaries and file notes of their meetings through the assistance of an AI. The Service may include features, but not limited to: note transcription, summarisation, search functionality, and content organisation. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.

User Account, Registration, Security and Service Availability

Registration: To access certain features, you may be required to create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information promptly.

Security: You are responsible for safeguarding your Account credentials and any activities that occur under your Account. Notify us immediately if you suspect any unauthorised use or breach of security.

Account Termination: We reserve the right to suspend or terminate your Account at our sole discretion for any violation of these Terms or for any conduct that may harm the Service, our users, or our business interests.

Availability and Downtime: While we strive to maintain uninterrupted access to the Service, we do not guarantee continuous availability. Scheduled maintenance, technical issues, or factors beyond our control may result in temporary disruptions.

AI-Generated Content

AI-generated content is provided ‘as is’ and may contain errors, omissions, or biases. Users should verify important information and not rely solely on AI-generated outputs for critical decisions. Halosoft Pty Ltd is not responsible for any actions taken based on AI-generated content, and users assume all risks associated with its use.

User Obligations and Conduct

When using the Service, you agree to:

  • Comply with all applicable Australian laws, regulations, and these Terms.
  • Use the Service only for lawful purposes.
  • Refrain from uploading, sharing, or transmitting any Content that is defamatory, obscene, infringing, or otherwise objectionable.
  • Refrain from uploading, sharing or transmitting content that contains hate speech, threats, or harassment.
  • Not misuse or interfere with the functionality of the Service, including bypassing security measures or attempting to gain unauthorised access.
  • Ensure that any feedback or suggestions provided to us become our property, and you grant us the right to use, modify, and commercialise such feedback without any obligation to you.
  • Not use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or with any other person’s use of the Site.
  • Not upload meetings or details that you are not permitted or authorised to record or store on file.

By using this site, you agree that you are solely responsible for the content of any data uploaded or provided to Meeting Ally. You must ensure that any data you provide is appropriate, lawful, and that you have the necessary rights or permissions to submit such data.

Fair Use

Our service plans are designed to support the typical meeting and collaboration needs of our customers. This policy is intended to ensure a high-quality and reliable service for all users and to prevent misuse, abuse, or other activities that may negatively impact the service.

Prohibited and Unreasonable use

You agree not to use the Service in a manner that is unreasonable, excessive, or intended to circumvent plan limits. Prohibited activities include, but are not limited to:

  • Continuous or Automated Use: Using the Service for continuous, non-stop, or automated connections without human interaction. This includes using the Service for data logging, machine-to-machine communication, or as a persistent server.
  • Account Sharing: Sharing your account credentials or otherwise allowing access to the Service by multiple, unrelated individuals or entities.
  • Resale of Services: Reselling, sublicensing, or otherwise distributing your meeting hours or Service access to third parties without our explicit written permission.
  • Illegal Activities: Using the Service for any fraudulent, deceptive, or illegal purposes.
  • Service Impairment: Engaging in any activity that unreasonably impairs the ability of other users to use the Service or that places an unreasonable strain on our systems or network.

Overages and Enforcement

Our service plans include a specific number of meeting hours. Any usage beyond this limit will be billed as an overage at the rate specified in your plan. We reserve the right to monitor usage to ensure compliance with this policy. In the event of a policy breach, we may, at our sole discretion, throttle, suspend, restrict, or terminate your account. These remedies are in addition to any overage charges you may incur.

Intellectual Property

Ownership: The Service, its design, content, AI algorithms, software, and documentation are the intellectual property of Halosoft Pty Ltd or its licensors.

User Content License: By uploading or otherwise submitting Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, distribute, modify, and display such Content solely for the purpose of operating, maintaining, and improving the Service.

Restrictions: You agree not to reverse engineer, decompile, or disassemble any portion of the Service, nor create derivative works based on the Service, except as expressly permitted by law or with our written consent.

Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. Use them at your own risk.

Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Australia.

General Provisions

Entire Agreement: These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Halosoft Pty Ltd regarding the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: The failure of Halosoft Pty Ltd to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

Assignment: We may assign or transfer our rights and obligations under these Terms without your consent. You may not assign or transfer these Terms without our prior written consent.
